These Terms of Service ("TOS") govern your access to and use of the YarsaPlay game backend platform and related services (collectively, the "Services") provided by Yarsa Labs Pvt Ltd ("Yarsa Labs"). By accessing or using the Services, you acknowledge that you have read, understood, and agree to be bound by these TOS. Yarsa Labs reserves the right to modify these TOS at any time without prior notice. The most current version of the TOS will be available at: Terms of Service. Your continued use of the Services following any modifications constitutes your acceptance of the revised TOS. These TOS apply to all features and services currently available and any that may be added in the future.
2.1 You hereby represent and warrant that all information provided during the registration process is accurate, current, and complete. You agree to maintain and promptly update your registration data to ensure its accuracy. If you are an individual registering for the Services, you warrant that you are at least 13 years of age and possess the legal capacity to enter into this agreement. If you are registering on behalf of an entity or organization, you warrant that: (i) the entity is duly authorized to conduct business in all relevant jurisdictions; (ii) you, as the individual applying for the account, have the legal capacity to enter into this agreement and are an authorized representative of the entity; and (iii) all employees, officers, representatives, and agents accessing the Services are duly authorized to do so and to legally bind the entity to this TOS and all transactions conducted under the account.
2.2 Upon registration, you will create a username and password. You are solely responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to: (a) immediately notify Yarsa Labs of any unauthorized use of your account or any other breach of security; and (b) ensure that you log out of your account at the end of each session. Yarsa Labs expressly disclaims any liability for losses or damages arising from your failure to comply with this section.
3.1 You retain sole responsibility for all information, data, text, software, graphics, audio, video, messages, tags, and other materials you submit to the Services, as well as any applications you develop using the Services (collectively, "User Content").
3.2 You represent and warrant that you own or have obtained all necessary licenses, rights, consents, and permissions to use and authorize Yarsa Labs to use all User Content in accordance with these TOS.
3.3 Yarsa Labs does not monitor, verify, or endorse User Content and, therefore, does not guarantee its accuracy, integrity, or quality. You acknowledge that by using the Services, you may be exposed to User Content that is offensive, indecent, or otherwise objectionable. Yarsa Labs reserves the right, but is not obligated, to remove or disable access to any User Content that violates these TOS or is deemed objectionable by Yarsa Labs in its sole discretion.
4.1 You agree not to submit any User Content or otherwise use the Services in any manner that:
4.2 Violates any applicable local, state, national, or international law or regulation;
4.3 Infringes upon or violates the intellectual property rights or any other rights of any third party;
4.4 Engages in deceptive practices or unauthorized marketing activities;
4.5 Contains material that is defamatory, obscene, threatening, abusive, or otherwise objectionable;
4.6 Distributes malware, viruses, or any other malicious code;
4.7 Interferes with or disrupts the Services, servers, or networks connected to the Services.
Yarsa Labs reserves the right, at its sole discretion, to modify, suspend, or discontinue the Services, in whole or in part, at any time and without prior notice.
You may terminate your account at any time by following the appropriate procedures within the Services. Yarsa Labs reserves the right to terminate or suspend your account and access to the Services, at its sole discretion, for any reason, including but not limited to, violation of these TOS.
All rights, title, and interest in and to the Services, including all associated intellectual property rights, are and will remain the exclusive property of Yarsa Labs and its licensors. You are granted a limited, non-exclusive, non-transferable, and revocable license to use the Services solely in accordance with these TOS.
THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, YARSA LABS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES.
You agree to indemnify, defend, and hold harmless Yarsa Labs, its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including but not limited to attorney's fees) arising from: (i) your use of the Services; (ii) your violation of these TOS; (iii) your violation of any third-party rights, including without limitation any intellectual property rights or privacy rights; or (iv) any claim that your User Content caused damage to a third party.
11.1 Entire Agreement: These TOS constitute the entire agreement between you and Yarsa Labs Pvt. Ltd. regarding the Services and supersede all prior agreements and understandings, whether written or oral.
11.2 Governing Law: These TOS shall be governed by and construed in accordance with the laws of Federal Democratic Republic of Nepal, without regard to its conflict of law provisions.
11.3 Assignment: Yarsa Labs may assign or transfer these TOS, in whole or in part, without restriction. You may not assign or transfer any rights or obligations under these TOS without the prior written consent of Yarsa Labs.
11.4 Severability: If any provision of these TOS is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
11.5 No Waiver: The failure of Yarsa Labs to enforce any right or provision of these TOS will not constitute a waiver of such right or provision.
11.6 Headings: The section titles in these TOS are for convenience only and have no legal or contractual effect.
